📊 MIXED DSG reports $1.98B revenue, 3.6% organic growth, adjusted EBITDA margin 8.9% in FY2025
Revenue & Profitability
Full-year 2025 consolidated revenue was $1.98 billion, up 9.8% year-over-year. Adjusted EBITDA was $175.2 million (8.9% of sales), down from 9.7% in 2024. GAAP net income per diluted share was $0.18, compared to a net loss of $0.16 in 2024; non-GAAP adjusted EPS was $1.24, down from $1.44. Fourth-quarter 2025 revenue was $482 million, flat organic versus prior year, and adjusted EBITDA was $35.4 million (7.4% of sales). Cash from operations was $84 million for the year, with free cash flow conversion of approximately 85%.
Outlook
Management noted demand remained healthy through 2025 across aerospace/defense, semiconductor-related technology, renewables, and industrial power, though renewables softened in North America in the second half. Tariff-related uncertainty and the Israel conflict are being actively assessed. The first two months of 2026 showed low single-digit sales growth, with continued pressure in the Canadian branch business. Management expects Q1 2026 EBITDA margins to remain under pressure due to ongoing investments, with improvement beginning in Q2 and accelerating into Q3, targeting above the 2025 average.
Growth Drivers
Key growth levers include expanding Gexpro Services' presence in technology, industrial power, and global renewables (e.g., India), as well as growth in aerospace/defense. Lawson Products is focused on increasing new VMI installations, wallet share from national accounts, and re-engaging smaller local accounts through improved sales force productivity and route optimization. TestEquity Group is investing in test and measurement, chambers, and rental offerings, with a backlog building in early 2026. E-commerce at Lawson delivered 18% Q4 revenue growth, with over 30% of customers new to the platform.
Balance Sheet & CapEx
DSG invested $26.8 million in net CapEx, including rental equipment, in 2025, and plans to invest a similar $25-30 million in 2026. Investments are focused on digital ecosystem simplification (ERP consolidation, e-commerce integration), AI-enabled tools, and route optimization technology for field sales employees. The company also made significant leadership additions across verticals, including a new Chief Revenue Officer at Lawson and a Chief Commercial Officer for TestEquity, as well as a dedicated corporate M&A leader.
Margins
Full-year adjusted EBITDA margin fell 80 basis points to 8.9%, driven by longer-term people investments (20 bps), higher healthcare costs, specific customer bad debt, and mix shifts. Fourth-quarter margins were compressed by ~150 bps in one-time/timing items including healthcare (40 bps), bad debt (20 bps), recruiting/leadership startup (25 bps), and Gexpro Services mix shifts (25 bps). Management expects Q1 2026 margins to remain under pressure but anticipates EBITDA margins returning above the 2025 average of 8.9% by Q2 and Q3, with typical seasonality.
Key Risks
Management flagged several risks: ongoing tariff uncertainty and its potential impact on pricing and sourcing, the conflict in the Middle East, demand softening in North American renewables, and headwinds in the Lawson small-account segment due to prior sales force disruption. Additionally, leadership noted that new customer program launches at Gexpro Services require upfront investment that can temporarily deleverage profitability, and that the Canadian branch business faces macroeconomic and tariff-related pressures.
