What Went Right
  • Adjusted EPS of $1.02 and adjusted ROTCE of 19%; NIM expanded 6 bps sequentially to 3.36%.
  • Southwest consumer deposits from Comerica campaign hit $2.5B, more than double the $1B target; Southeast checking households grew 7% YoY.
  • Fee platforms scaled: commercial payments and wealth/asset management each reached $1B+ annualized run rate; Newline fees up 35% YoY; Direct Express added 66,000 new beneficiaries.
  • Full-year NII guidance raised to $8.74B-$8.80B and adjusted expense guidance lowered; adjusted efficiency improved 480 bps sequentially to 57.1%.
What to Watch
  • Consumer deposit competition is intensifying, pushing up the marginal cost of deposit growth even in a flat-rate world.
  • Q3 is a transition quarter around Labor Day conversion, with $50M-$100M of conversion/branch-closure charges and most remaining synergies deferred to Q4.
  • Balance sheet remains more asset-sensitive than desired — year-two sensitivity just under 10% — and CET1 at 9.93% sits just below the 10%-10.5% target; buybacks resume only modestly in Q3.
Management Guidance
  • FY26: NII raised to $8.74B-$8.80B; adjusted noninterest income raised to $4.06B-$4.16B; adjusted noninterest expense lowered to $7.22B-$7.26B (excl. acquisition charges).
  • 3Q26: NII growth of +2%-2.5% QoQ; average loans up ~1%; adjusted noninterest income +1%-3%; adjusted noninterest expense -1%-2%.
  • Other: 2H26 net charge-offs expected 30-35 bps; adjusted PPNR growth >40% for FY26; Q3 deal charges ~$50M-$100M; Q4 buyback cadence normalized to ~$200M-$300M per quarter.
Investor Lens
The thesis is stronger after this call. Management raised full-year NII guidance, cut expense guidance, delivered Southwest deposit growth well above the original target, and expanded NIM by 6 bps. The Labor Day systems conversion is the final step to unlock the $850M run-rate synergy commitment, with revenue synergies already visible in payments, wealth and the new markets. The main caveats are rising deposit competition and an elevated asset-sensitivity profile, but Q3 softness should give way to a step-up in Q4 earnings power.

📈 STRONG Strong quarter: $1.02 adj EPS, NIM 3.36%, synergies ahead.
Revenue
Total second-quarter revenue was $3.28B — NII of $2.22B plus noninterest income of $1.06B — up 46% YoY. NII benefited from fixed-rate asset repricing and a full quarter of Comerica, while fee revenue was led by wealth and asset management ($256M), commercial payments ($254M) and capital markets ($154M).
Profitability
GAAP EPS was $0.83, and adjusted EPS was $1.02 after excluding $175M of after-tax certain items. Net income available to common rose 29% YoY to $763M. Adjusted ROTCE improved to 19% and adjusted ROA to 1.30%.
Margins
Net interest margin expanded 6 bps sequentially to 3.36%. Adjusted efficiency ratio improved 480 bps sequentially to 57.1%, while the reported efficiency ratio was 64.3%.
Balance Sheet
Period-end core deposits were $231B and average deposits $231.5B. CET1 ended at 9.93%, loan-to-core deposit ratio was 77%, and the LCR was 107%. Tangible book value per share rose 10% YoY to $23.15.
Key Risks
Management flagged increasingly competitive consumer deposit pricing and a balance sheet that remains more asset-sensitive than desired, with year-two sensitivity just under 10%. Guidance embeds a September 25 bp rate hike assumption; Q3 carries $50M-$100M of conversion-related charges and most expense synergies land only after the Labor Day systems conversion.
Outlook
FY26 NII guidance was raised to $8.74B-$8.80B, adjusted noninterest income to $4.06B-$4.16B, and adjusted noninterest expense was lowered to $7.22B-$7.26B. For Q3, NII is expected to grow 2%-2.5% QoQ and adjusted expenses to decline 1%-2%, with the $850M run-rate synergy target on track for Q4.
